Terms of Service
It is a legal agreement that outlines the rules, responsibilities, and expectations between a website, app, or service provider and its users.
1. Parties & scope
These Terms govern all work between ("UZ Pixels," "we") and the Client ("you"), for 3D motion design, animation, and related visual production services.
An agreement is formed the moment you approve a quote, proposal, or Statement of Work referencing these Terms — no separate signature required unless a full contract is issued for the project.
2. Services & scope of work
Each project is scoped in a proposal or Statement of Work (SOW) describing deliverables, format, duration, and revision allowance.
Anything outside the agreed SOW — new scenes, new concepts, additional formats or aspect ratios — is treated as a change request and quoted separately.
Scope, timeline, and price are only firm once the SOW is approved in writing.
3. Project process
Work begins once the SOW is signed and the agreed deposit is received.
You're responsible for supplying brand assets, briefs, and reference material on time — delays here shift delivery dates proportionally.
A defined number of revision rounds is included per deliverable, as stated in the SOW. Additional rounds are billed hourly or per revision.
4. Fees & payment
Pricing is quoted in USD unless agreed otherwise.
Standard structure: [e.g. 50% deposit, 50% on final delivery].
Payments are accepted via [Wise / PayPal / bank wire / Payoneer]. Transfer and conversion charges are borne by the client unless stated otherwise.
Invoices are due within [7–15] days. Overdue balances may accrue interest and pause active work.
5. Intellectual Property
All rights in final deliverables transfer to you upon full and final payment — not before. Until then, all files remain our property.
We retain the right to display finished work in our portfolio, reel, and social channels, unless you request confidentiality in writing (e.g. under NDA).
Third-party assets used in a project — stock footage, plugins, fonts, music — remain licensed under their original terms. We're not responsible for use that exceeds that license.
6. Confidentiality
Both parties agree to keep unreleased project details, scripts, and business information confidential, except where disclosure is required to deliver the work or by law.
7. Cancellation & refunds
Deposits are non-refundable once work has commenced.
If you cancel mid-project, we invoice for work completed to date; any unused prepaid balance is refunded.
We may end a project for non-payment or lack of response beyond [30] days, retaining the deposit.
8. Timelines & delays
Delivery dates are estimates that depend on timely feedback and asset delivery from your side. We're not liable for delays caused by client-side factors, third-party tools, or events beyond our control.
9. Governing Law
These Terms are governed by the laws of [Your Jurisdiction]. Any disputes shall be resolved in the courts of [Your Jurisdiction].
